The company is a four year old growth company that partners with real estate developers to provide new residential communities with a unique amenity built upon an Open Access System fiber to the home network and a suite of communications, entertainment, and lifestyle services. The Company provides the ultimate amenity to residents of these communities maintaining choice of service providers (Open Access) and offering state of the art telecommunications and entertainment services. The Company networks deliver ultra-high speed internet, television (HDTV, IPTV and traditional CATV), voice (traditions telephone and VoIP), alarm monitoring, community web portals, WiFi hot spots, and home automation. An exclusive private perpetual telecommunication easement allows it to be an unregulated monopoly in providing the infrastructure for telecommunication services. Five year plan is to contract with 270,000 homeowners that will create net company value of over $1.7 Billion. The company is seeking a total equity investment of $10MM. This investment will fund networks under contract and projects from the pipeline to be built within the next 24 months, plus the expansion of the Company’s systems and people. The Company will also seek a commitment from an unrated structured debt facility of $30 to $40 million, to fund the deployment of infrastructures after 24 months. Debt will only be taken down in connection with signed contracts that will generate revenues within one to six months of the takedown. The exit strategy will be the sale of the Company or its networks to any number of telecom, cable or Internet companies. All of them will be highly interested in gaining control of a large group of homes in which they can provide their services directly. The acquisition of the Company by any of these companies will be significantly less capital intensive that the overbuild investments that they are currently undertaking.
